1. Introduction

Welcome to NamingRun ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the NamingRun website, mobile applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use our Services. We reserve the right to change these Terms at any time. We will provide notice of any material changes through the Services or by other means. Your continued use of the Services after such notice constitutes your acceptance of the changes.

2. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for their intended purposes, subject to these Terms.

7. Payment Terms

Certain aspects of the Services may require payment. By using such features, you agree to pay all fees and charges associated with your account on a timely basis. All payments are non-refundable unless otherwise stated or required by law.

We reserve the right to change our prices at any time. We will provide notice of any price changes through the Services or by other means.

8. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, without prior notice or liability. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NAMINGRUN, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.

OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, REGARDLESS OF THE FORM OF THE ACTION, WILL BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES DURING THE 12-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless NamingRun, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Romania for the resolution of any disputes arising out of or relating to these Terms or the Services.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes through the Services or by other means. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.
